Subscription Terms

These terms apply to your purchase of a Subscription for access to the HWBT+ Subscription Service and your use of that Subscription Service.

1. Information about us

HWBT Plus LTD (with company no. 17120045) whose registered address is at Lumaneri House Blythe Gate, Blythe Valley Park, Solihull, West Midlands, United Kingdom, B90 8AH and VAT number: 517467474) ("we", "us", "our").

We provide a content subscription service ("Subscription Service"), via our mobile application under the name "HWBT+", which can be downloaded in the Apple App Store and Google Play ("App") and our website located at https://hwbtplus.com ("Website" and together with the App, our "Platforms"). All references to the Subscription Service shall include all elements therein, including without limitation any digital content that we provide to you as part of our Subscription Service ("Digital Content"), Tokens (defined in Section 7.2(a) below), any other content or materials made available through the Subscription Service and any other elements or benefits. Further details can be found at our pricing page.

Individual consumers ("you", "your") can sign up to use the Subscription Service on our Platforms by purchasing a subscription from us ("Subscription").

Please note that the Subscription Service and Subscriptions are only available to individual consumers. They are not available to business customers.

3. Our Terms

These terms and conditions apply to your purchase of a Subscription for access to the Subscription Services from us and your use of those Subscription Services (the "Terms").

By purchasing a Subscription, you acknowledge that you have read, understood and agree to comply with these Terms. Please read the Terms carefully. If you do not agree to be bound by these Terms, you should stop using the Subscription Services immediately and cancel your Subscription.

We recommend that you save a copy of these Terms for your records. Please check this page from time to time to take notice of any changes we make to the Terms.

We may update the Subscription Services, the Subscription(s) and/or these Terms from time to time for legal or regulatory reasons or make minor technical adjustments and improvements to these Terms to ensure they are sufficient to operate the Subscription Service. See Sections 23 and 24 below.

Benefits, features and price of the Subscription Services may be subject to change by us from time to time. If we make any significant amendments or changes that could affect your Subscription, we will let you know in advance so that you can decide whether you wish to cancel your Subscription by contacting us using the contact details below, or proceed with your next renewal. The amended Terms will apply to your Subscription from your next renewal date after we notify you of such changes. If you do not want to renew your Subscription, you should cancel your payment and exercise your right to cancel prior to your next renewal date.

Please regularly check the "updated" date at the top of the Terms to see if any changes have been made since your last use.

Your use of our Platforms is governed by our Platform Terms & Conditions.

4. Subscription Requirements

All subscribers must be individuals who:

  • is aged eighteen (18) years or older (or the age of majority in your jurisdiction of residence, whichever is older);
  • have access to the internet; and
  • have the power to enter into a contract with us and not be prevented from doing so under any applicable laws.

5. Subscription Orders

You can place an order for a Subscription via one of our Platforms.

On placing your order for your Subscription, you will need to provide us with some personal information, such as contact details and payment information, so that we can set up your Subscription.

When you submit your order, this is an offer from you to purchase a Subscription from us. We will confirm acceptance of your order (and therefore when your Subscription is confirmed) via email ("Order Confirmation"). Once we accept your order, a legally binding contract will be in place between you and us on these Terms.

To process your Subscription, we depend on the accuracy of the information you provide when you sign up. Unfortunately, we cannot be responsible if, for example, you do not receive our Order Confirmation email because you made a mistake in the email address you provided to us. Therefore, please check your order and personal details carefully.

If you notice that the information you have given to us is wrong at the time of placing your order or at any time during your Subscription, you can update it via your self-service portal on your Account (defined in Section 6.1 below) or notify us using the contact details in Section 2 above.

If we do not accept your order, for example because we have been unable to take payment, the Subscription Service is unavailable, you are under 18 or live outside of the UK, or there has been a mistake regarding the pricing or description of the Subscription Service, we will email you using the details you provided when you placed your order and provide you with a refund if payment has already been taken. We have the right to reject any order for any reason.

Limit one (1) Subscription and one (1) corresponding Account per person.

6. Your Account

Once your Subscription has been confirmed, you will need to create an account with us to access your Subscription, including without limitation, a username and password and payment information (which may include, but is not limited to, your agreed Subscription payment method and details (e.g. credit / debit card numbers, bank account numbers and sort codes)) ("Payment Information") and the personal details that you provided to us in the order process (your "Account"). By continuing to use the Subscription Service you represent and warrant that:

  • all information you submit is accurate and truthful;
  • you have permission to submit your Payment Information to us, , where permission may be required, including without limitation, that you have the express prior permission of the credit/debit card holder; and
  • you will keep this information accurate and up-to-date.

You are not permitted to share your Account (including without limitation, your username and password) with anyone.

We accept no liability for any losses or damages incurred as a result of your Account details being shared by you. If you use a shared computer, it is recommended that you do not save your Account details in your internet browser.

If you have reason to believe that your Account details have been obtained by another person without consent, you should contact us using the contact information in Section 2 above to suspend your Account and cancel any unauthorised purchases that may be pending. Please be aware that given the nature of the Subscription Services, there are strict time limits on when purchases can be cancelled (see "Cancellation" Sections 14 and 15 below for more information). In the event that an unauthorised purchase is made prior to you notifying us of the unauthorised nature of the purchase, we may request further information and evidence from you regarding the purchase and access to your Account.

7. Subscription Benefits

Your Subscription includes access to view exclusive content via our Platforms during the Subscription Period(s) (defined in Section 10.1 below).

At our sole discretion, from time to time, your Subscription may also include the following during your Subscription Period(s):

  • ten (10) free tokens each month during the Subscription Period ("Token(s)") for you to use as entries into our prize competitions via our competition website located at https://hwbtplus.com ("Prize Competition(s)"). For more information on Tokens conditions and restrictions, please see Section 18 below. For more information on our Prize Competitions and how many Tokens are required to enter a Prize Competition, please visit our Prize Competition website pages and terms and conditions;
  • other sign up or bonus Tokens (as may be offered at our sole discretion from time to time); and
  • access to purchase exclusive merchandise and access to discounts, community forums and more.

Please note that these additional elements are value adds and do not form part of your Subscription. Further information will be provided on our Platforms at the relevant time.

Your access and use of the Subscription Service, including without limitation, the Subscription benefits detailed in this Section 7 is:

  • personal to you, as the authorised holder of the Account and the corresponding Subscription. You do not have the right to share access to the Subscription and/or your Account or any content or other benefits or elements of your Subscription with anyone else; and
  • subject to your compliance with these Terms, including without limitation, Section 9 (Your use of the Subscription Service).

8. Subscription Service

We cannot guarantee that the Subscription Service will be available at any given time, or that access to the Subscription Service will be uninterrupted, error free or secure. For example, access to the Subscription Service may be temporarily unavailable while we carry out maintenance or for other technical reasons.

Descriptions of our Subscription Service are set out on our Platforms. Please note that the Digital Content is subject to change and not guaranteed. Changes to the Digital Content do not entitle you to a refund or other compensation.

To use your Subscription, including without limitation viewing the Digital Content on our Subscription Service, your device needs to comply with the minimum technical requirements set out here. Please read these carefully as you are responsible for making sure that your device meets these requirements.

You will need internet access to use your Subscription and you are responsible for any charges you may incur in connection with your use of your Subscription. The streaming resolution and quality of the Digital Content will depend on the type of device you are using, your resolution settings and the speed of your internet connection.

We are not liable to you if you are unable to use your Subscription and/or the Digital Content due to a poor internet connection, because your device does not meet the minimum technical requirements, or for any other reason outside of our reasonable control.

9. Your use of the Subscription Service

We give you a licence to view the Digital Content, provided that you comply with these Terms. The licence starts when you access your Subscription.

You do not own the Digital Content or any other content or materials made available through the Subscription Service, but you may view the Digital Content, as set out in these Terms. You are not allowed to pretend that the Digital Content or any other content or materials made available through the Subscription Service is your own or make it available to others to stream, download or use.

You agree that you will not:

  • misuse the Subscription Service or use it for any unlawful purpose, or in any way that creates liability for, or causes damage to, us;
  • use the Subscription Service in any way that breaches any applicable local, national or internationals international law or regulation;
  • use the Subscription Service for any commercial, business or resale purposes;
  • use the Subscription Service to harm, or attempt to harm, any individual;
  • attempt to gain unauthorised access to the Subscription Service, the servers on which it is stored, or any server, computer or database connected to it;
  • knowingly transmit, send or upload any data or material that contains viruses, Trojan horses, worms, timebombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware;
  • modify, translate, adapt, merge, create derivative works of, disassemble, decompile, reverse engineer or otherwise attempt to derive the source code of any part of the Subscription Service or content, except to the extent expressly permitted by applicable law;
  • interfere with, damage or impair the functionality of the Subscription Service, or any third party's use of it;
  • circumvent, manipulate or interfere with the operation or functionality of the Subscription Service, or attempt to enable features or functionalities that are disabled, inaccessible or undocumented;
  • breach or attempt to breach the security of the Subscription Service, or test or attempt to identify any security vulnerabilities in it;
  • use or attempt to use any automated systems or software (including robots, crawlers or scrapers) to extract, collect or compile content or data from the Subscription Service;
  • use the Subscription Service to develop, create or provide a similar or competing product or service; and/or
  • conceal, change or remove any markings which show who owns the Digital Content or any other content in the Subscription Service, such as copyright, registered and unregistered trade marks or other proprietary rights markings and notices displayed on or in connection with the Subscription Service, or try to circumvent any digital rights management or technical protection measures put in place to prevent you from using the digital content in a way that you are not allowed to.

If you do not comply with any term in this Section 9, we have the right to end our contract with you, and your Subscription, immediately by sending an email to the address in your Account.

If we end our contract with you in accordance with Section 9.4:

  • you will not be entitled to a refund;
  • we may seek to recover reasonable compensation from you according to law to cover losses resulting directly from your breach of this Section 9;
  • you must immediately stop using your Subscription;
  • we may remotely block your access to the Subscription Service;
  • you must delete or remove the Platforms from any devices; and
  • we may delete or suspend access to your Account.

10. Term and auto-renewal

Your Subscription is a rolling monthly subscription with a one (1) month minimum term ("Subscription Period"). Therefore, at the end of each Subscription Period, your Subscription will automatically renew for the same period (i.e. monthly), unless and until it is ended either by you or us in accordance with these Terms.

We will process your first payment for your Subscription following your Order Confirmation using your agreed Payment Information. We will continue to take payment using your agreed Payment Information on a monthly basis on the first day of each new Subscription Period.

11. Price and payment

The price of your Subscription is the price stated as part of your Order Confirmation and/or any subsequent renewal confirmation email. This price will set out any promotional discounts that we have applied (if any). For the avoidance of doubt, only our discounts and promotional offers (if any) are valid. Only one discount or promotional offer can be used on a Subscription.

If there has been an error regarding the pricing of any of our Subscriptions and this affects your order or renewal (as applicable), we will try to contact you using the contact details as set out in your Account. We will give you the option to re-confirm your order at the correct price or to cancel your order and get a full refund (if you have pre-paid). If we are unable to contact you, we will treat the order as cancelled and notify you by email.

Payment will be taken monthly, unless or until your Subscription is cancelled in accordance with these Terms.

We accept payments by direct debit or by credit or debit card as specified on our payment information page. All credit card and debit card payments need to be authorised by the relevant card issuer. We may use a third party provider to process payments on our behalf.

Your payment will be taken in GBP Sterling (£) and include VAT at the applicable rate.

12. Changes to the price/Subscription

We reserve the right to change the price of the Subscription at any time. Such increase will apply from your next monthly renewal.

Prior to any change in price, we will notify you of such change at least fourteen (14) days in advance, so that you can decide whether you want to renew your Subscription or not. If you do not want to renew your Subscription, you should also cancel your payment and exercise your right to cancel prior to the next renewal date in accordance with Section 15.

If the rate of VAT changes between your order date and the date we supply the Subscription Service for the relevant Subscription Period, we will adjust the rate of VAT that you pay, unless you have already paid in full before the change in the rate of VAT takes effect.

13. Default payments

We may end or suspend your Subscription if we do not receive your payment when it is due, and if we have not received your payment within seven (7) days of us reminding you that it is due.

14. Your right to cancel – Cooling-off right

You have fourteen (14) days from the date of your Order Confirmation email to change your mind and cancel your order. However, if you expressly request access to your Subscription prior to the end of the 14-day cancellation period, then you will lose your right to cancel under this Section 14.1 and you will not be entitled to a refund in such circumstances, unless the Subscription Services are faulty as provided for under Section 17. We will ask you at check-out to confirm whether you wish to access your Subscription prior to the end of the 14-day cancellation period and if so, that you acknowledge that you are waiving your right to the 14-day cancellation period.

To cancel your order in accordance with Section 14.1, you can submit your cancellation request via the cancel my subscription section in your Account or use the cancellation form available at the end of these Terms. To help us process your cancellation more quickly, please have your order number ready or include it in the email or cancellation form you send to us.

We will provide you with a refund as soon as possible and no later than fourteen (14) days after the day on which you told us that you want to cancel.

We will issue your refund to the Payment Information in your Account.

15. Your right to cancel

In addition to the cooling-off right under Section 14 above, you also have the right to cancel your Subscription for the various reasons provided in these Terms and also prior to your next renewal without giving us any reason in accordance with Section 15.2 below.

Any cancellation under Section 15.1, will be effective from the next billing date (provided the cancellation has been provided at least five (5) working days prior to the next payment date) ("Cancellation Effective Date"). As such, unless we notify you otherwise, you will continue to have access to the Subscription Service until the end of your current subscription month and you will not be entitled to a refund.

We will stop debiting any payments from your account or debit or credit card (as appropriate) and your Subscription will cease and you will cease to have access to the Subscription Service from the Cancellation Effective Date.

16. Our right to cancel / suspend Subscriptions

We may cancel or suspend your Subscription as a result of any breach by you of the Terms, including, if you do not make payment to us even after we have reminded you, or you fail to update or if we are required to do so for a legal or regulatory requirement. Where possible, we will notify you using your contact details provided in advance of any cancellation or suspension.

We may stop providing any part of the Subscription Service at any time. We will provide at least thirty (30) days prior notice of this.

Other than as set out above, we do not provide refunds on any Subscriptions unless:

  • it is our fault that we have not been able to provide the Subscription Services
  • where you are entitled to a refund under consumer law; or
  • there are exceptional circumstances that we will consider on a case by case basis.

17. Faulty Subscription Services

The Subscription Services that we provide to you must be as described, fit for purpose and of satisfactory quality.

If the Subscription Services are faulty, you are entitled to a repair.

If the fault cannot be fixed, or if it has not been fixed within a reasonable time and without significant inconvenience to you, and it affects a significant portion of all of the Subscription Services, you may be entitled to receive some, or all, of your money back.

If you can show that a fault in the Subscription Services has damaged your device and we have not used reasonable care and skill, you may be entitled to a repair or compensation.

This is a summary of some of your key rights. They are in addition to your cancellation rights set out in clause 14 above. For more detailed information on your rights, or visit the Citizens Advice website at www.citizensadvice.org.uk or call 0808 223 1133.

If there is a problem with your Digital Content, please contact us as soon as reasonably possible.

18. Tokens

The Tokens that you receive in accordance with Section 7.2(a) during your Subscription are provided at no cost to you and are an added value to your Subscription.

Prior to using Tokens, please read this Section 18 carefully to understand the specific terms and conditions that apply to Tokens.

Tokens:

  • have no "real world" monetary value and cannot be redeemed for cash;
  • are not owned by you and you do not have any property interest in the Tokens. We only give you a personal, non-exclusive, non-transferable, non-sublicensable, revocable, limited right and licence to access the Tokens for the duration of your Subscription and to use the Tokens as set out in these Terms;
  • are personal to you and the specific Account to which the Tokens were allocated;
  • cannot be transferred, traded or sold to anyone or pooled across Accounts;
  • can only be used for the permitted uses identified on our Platforms;
  • remain valid for the duration of your Subscription and any unused Tokens received during your Subscription will roll-over to subsequent Subscription Periods until your Subscription is cancelled or terminated (by you or by us);
  • that remain unused at the end of your Subscription will automatically expire and be forfeited by you; and
  • cannot be used during any period of suspension of your Account, your Subscription or your access to the Subscription Service.

The number of Tokens required for entry into each Prize Competition will be detailed on our Prize Competition website.

For the avoidance of doubt, any Tokens that you have already used as entries into Prize Competitions prior to cancelling your Subscription will remain valid and eligible for such Prize Competitions.

We reserve the right at any time to:

  • cancel or remove any Tokens obtained by error, fraud and/or breach of these Terms without any liability to you;
  • amend the number of Tokens that we give to you;
  • amend the frequency of Tokens that we give to you;
  • discontinue and cease to provide Tokens;
  • discontinue and cease to provide Prize Competitions. However, we will provide notice in accordance with the Prize Competition terms and conditions.

19. Suspensions and Termination of your Account or access to the Subscription Service

We may suspend and/or terminate your Account, your Subscription and/or your access to the Subscription Service, if:

  • you breach these Terms (or any other terms that apply to you in relation to your Subscription and/or use of our Platforms);
  • we believe you have infringed the rights of a third party and failed to remedy this when notified to do so;
  • your Account is inactive for two (2) years. This means you have not made a purchase or accessed your Account during that two (2) year period;
  • your Account and/or your use or access to your Subscription and/or the Subscription Service is being used in a fraudulent, improper, unlawful or unfair way.

If we terminate or suspend your Account, your Subscription and/or your access to the Subscription Service, you will be notified by email and an explanation for the termination or suspension will be provided. Notwithstanding the foregoing, we reserve the right to terminate or suspend your access to your Account, your Subscription and/or your access to the Subscription Service without giving reasons where there is a risk of fraud, a security incident or a technical or legal requirement. This obligation does not prevent us from suspending or withdrawing the Subscription Service for everyone. In addition, you will no longer be able to access your Account, your Subscription and/or your access to the Subscription Service and unused Tokens may also be deleted.

If your Subscription and/ or your Account is suspended by us:

  • your access to the Subscription Service will be paused and you will not be entitled to any refund; and
  • any Tokens which have been used in our Prize Competitions prior to such suspension or termination will remain valid and not be cancelled.

If your Subscription and/ or your Account is terminated or cancelled (by you or us):

  • your access to the Subscription Service will immediately cease on such termination and you will only be entitled to such refund as expressly set out in these Terms;
  • any Tokens which have been used in our Prize Competitions prior to such suspension or termination will remain valid and not be cancelled;
  • any unused Tokens will automatically be voided on such termination.

20. Personal information

21. Our responsibility to you

We are not responsible for any losses you suffer that are unforeseeable, that are caused by circumstances outside our control or are losses that you could have avoided by taking reasonable action.

Our responsibility to you for losses suffered in connection with your Subscription will not exceed the total subscription fees paid by you (which in all cases, including rolling Subscriptions, will be a maximum of the preceding twelve (12) months).

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence or the negligence of any of our employees or agents; fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

22. Disclaimers

We make no warranty or representation that the Subscription Service will be compatible with all systems, that it will be secure and that all information provided will be accurate.

The Subscription Service is for entertainment purposes only and no part of the Subscription Service is intended to constitute advice and should not be relied upon when making any decisions or taking any action of any kind.

Whilst we use reasonable endeavours to ensure that the Subscription Service is secure and free of errors, viruses and other malware, you are advised to take responsibility for your own security, that of your personal details and your computers.

23. Changes to the Subscription Service

We reserve the right to change, modify, discontinue or terminate the Subscription Service and/or any Subscription offerings at any time. If this happens and it affects your Subscription, we will notify you by email, cancel your pending order (or pending renewal, as relevant) and provide you with a refund for any sums paid to us prior to the commencement of such Subscription or Subscription renewal.

If we make any significant amendments or changes to the Subscription Service, we will let you know in advance so that you can decide whether you wish to cancel your Subscription in accordance with Section 15, or proceed with your next renewal. The amended Terms will apply to your Subscription from your next renewal date after we notify you of such changes. If you do not want to renew your Subscription, you should cancel your payment and exercise your right to cancel prior to your next renewal date.

If we decide to terminate any element of the Subscription Service, we will (where commercially viable) aim to give you thirty (30) days' notice prior to this.

24. Availability of the Subscription Service

The Subscription Service (including any Account and Subscription) is provided "as is" and on an "as available" basis. We give no warranty that the Subscription Service will be free of defects and / or faults. To the maximum extent permitted by the law, we provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality.

We accept no liability for any disruption or non-availability of the Subscription Service resulting from external causes including, but not limited to, ISP equipment failure, host equipment failure, communications network failure, power failure, natural events, acts of war or legal restrictions and censorship.

We may change the appearance, settings or any part of the Subscription Service or provide updates to Subscription Service at any time which may impact the appearance or, functionality of any Digital Content uploaded.

25. General

We may transfer our rights and obligations under these Terms to another organisation. In such circumstances, we will let you know in advance so that you can decide whether you wish to proceed with your next renewal or to cancel your Subscription in accordance with Section 15 of these Terms.

We shall not be responsible for any failure to perform our obligations to you if such failure is caused by circumstances beyond our control.

We shall not be responsible for any failure to fulfil any aspect of your Subscription if this is due to the supply of incorrect details by you.

If any Section of these Terms is held to be unenforceable, invalid or illegal, it shall not affect or impair the enforceability, legality or validity of the rest of the Terms.

In the event that any party to these Terms fails to exercise any right or remedy contained herein, this shall not be construed as a waiver of that right or remedy.

In the event of any conflict between these Terms and any prior versions thereof, the provisions of these Terms shall prevail unless it is expressly stated otherwise.

The contract created by these Terms is between you and us. Nobody else can enforce it and nothing in these Terms shall confer any such rights upon any third party.

These Terms are governed by English law and wherever you live you can bring claims against us in the English courts. If you live in Wales, Scotland or Northern Ireland, you can also bring claims against us in the courts of the country you live in. We can claim against you in the courts of the country you live in.
